1) Acceptance of Terms

By accessing or using mediprocureone.com or any related services (the “Services”), you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Services.

2) Purpose of the Services

MediProcureOne provides a business-to-business platform and related resources intended to support diagnostic imaging procurement and vendor engagement.

The Services are provided for informational and commercial evaluation purposes only.

3) No Medical or Clinical Use

The Services are not medical advice and are not intended for diagnosis, treatment, or clinical decision-making. You are solely responsible for ensuring that any decisions made using information from the Services are appropriate and compliant with applicable clinical, regulatory, and organizational requirements.

4) No PHI Submission; Demo/Sample Data

Do not submit PHI or patient-identifying data through website forms, demo environments, or general communications. Any demo environment is intended to use sample or de-identified data only.

5) Vendor-Agnostic and No Endorsement

MediProcureOne may present information about vendors, products, or services. Unless explicitly stated, MediProcureOne does not endorse, certify, or guarantee any vendor, product, pricing, clinical performance, uptime, cybersecurity posture, regulatory status, or suitability for a particular purpose.

6) No Guarantee of Availability, Pricing, or Outcomes

All content—including descriptions, configurations, timelines, and potential pricing concepts—is provided “as is” and may change without notice. We do not guarantee:

  • Availability of specific products or configurations

  • Pricing, discounts, or financing terms

  • Procurement outcomes, savings, or delivery timelines

  • Vendor responsiveness or bid participation

7) User Responsibilities

You agree not to:

  • Use the Services for unlawful purposes

  • Attempt to gain unauthorized access to systems or data

  • Upload malicious code or interfere with the operation of the Services

  • Misrepresent your identity or affiliation

8) Intellectual Property

The Services, including text, graphics, logos, and underlying materials, are owned by PRN Healthcare LLC or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works except as permitted in writing.

9) Third-Party Links and Services

The Services may reference third-party websites or services. MediProcureOne is not responsible for third-party content, policies, or practices.

10) Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIPROCUREONE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIPROCUREONE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IF LIABILITY IS FOUND, MEDIPROCUREONE’S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID TO MEDIPROCUREONE FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU PAID NOTHING.

12) Indemnification

You agree to indemnify and hold harmless MediProcureOne from claims arising out of your misuse of the Services, violation of these Terms, or violation of applicable law.

13) Termination

We may suspend or terminate access to the Services at any time if we believe you have violated these Terms or if necessary to protect the Services, users, or our rights.

14) Governing Law; Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Any dispute will be brought in state or federal courts located in Pennsylvania, and you consent to jurisdiction and venue there.

15) Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
